DIA Membership & Volunteer Engagement Committee Charter
Purpose: The Membership and Volunteer Engagement Committee shall assist the Board with its governance-level membership and volunteer responsibilities.
Duties and Responsibilities: 1) Assist the board on membership and volunteer strategies and governance level issues as required (including but not limited to Regional Advisory Councils, and SIACs) 2) Determine which strategic membership and volunteer issues rise to the generative, strategic, or fiduciary level for board attention. 3) Oversee DIA’s membership structure to assure membership categories and dues are aligned with and support DIA’s mission; promote changes where required to meet the evolving goals of DIA. 4) Oversee DIA’s volunteer leadership structure and programs to assure alignment with DIA’s mission; promote changes when required to meet the evolving needs and interests of DIA’s members and stakeholders and to support DIA’s goals; ensure that the roles of the volunteer leadership groups are aligned and review any recommendation for modifications. 5) Bring forward for Board approval any recommendations for the establishment of a new category of communities ensuring that an effective launch plan is in place to provide appropriate guidance and optimal global integration. 6) Bring forward for Board approval any recommendations for the dissolution of any category of communities.
Authority: The Committee shall oversee DIA’s membership and volunteer leadership structure and programs from a governance level and bring forward strategic recommendations and issues to the Board as required. Subject to Board approval, the committee will have access to external professionals to render advice and counsel when necessary.
Membership: The Committee is comprised of one Chair who is a member of the Board and is appointed by the President of the DIA. The Committee Chair should not be a current RAC Chair. RAC Chairs, Provisional RAC Chairs, and the DIA Director of Volunteer Services are mandatory members of this Committee. One or two additional members of the Board may be appointed to this Committee. In addition, this committee may recruit outside members with the approval of the Board.
Meetings: The Committee shall meet as many times as necessary to accomplish its objectives and will conduct face-to-face meetings or teleconferences as appropriate to fulfill its obligations. The Chair will assign and ensure that there will be an accurate recording of minutes of each meeting that are available to the Board of Directors. A majority of member attendance whether face to face or by teleconference for these meetings will constitute a quorum. |
